Terms of Use

Welcome to CodeNocturne. These Terms of Use (“Terms”) govern your access to and use of the CodeNocturne macOS application (the “App”) and the website at codenocturne.app (together, the “Service”). By downloading, installing, or using the App you agree to these Terms. If you do not agree, please do not use the Service.
1. Eligibility
You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Service. By using the Service you represent that you meet this requirement and that any information you provide is accurate.
2. License
Subject to your compliance with these Terms, CodeNocturne grants you a personal, non-exclusive, non-transferable, revocable license to download and use the App on macOS devices you own or control, solely for your own coding work. This license does not include the right to sublicense, redistribute, sell, rent, lease, or reverse-engineer the App, except to the extent such restriction is prohibited by applicable law.
3. Free and Pro Plans
CodeNocturne is offered under a freemium model:
- Free — the coding workspace, agent sessions, tool approvals, and a curated subset of ambient scenes are available at no charge. The agent itself is never paywalled.
- Pro — adds the full ambient library, multiple workspaces, multi-device sync, custom agent presets, and premium themes. Pro is available as a monthly or annual subscription.
Pro is sold through two channels:
- Website checkout at codenocturne.app/#pricing — billed by Paddle (see §4).
- Mac App Store as an in-app purchase — billed by Apple (see §5).
Pricing is the same on both channels at launch. All Pro plans include a 14-day free trial. Early Adopter pricing, where offered, locks at its initial rate for as long as the subscription remains active and uninterrupted.
4. Billing via Paddle (Website Checkout)
Paid plans purchased through our website are sold and billed by Paddle.com Market Limited (“Paddle”), which acts as our merchant of record. Paddle is the seller responsible for the transaction, including the collection and remittance of any applicable VAT, GST, sales tax, or other transactional taxes in your jurisdiction.
When you subscribe via the website:
- You authorize Paddle to charge your selected payment method for the subscription fee and any applicable taxes.
- Your subscription will renew automatically at the end of each billing period (monthly or annual) at the then-current price for your plan, until you cancel.
- You can cancel at any time through the Paddle subscription management link in your receipt email, or by emailing support@codenocturne.app. Cancellation stops future renewals; you retain Pro access until the end of the current billing period.
- We may change Pro pricing for future billing periods. We will notify subscribers by email before any price change takes effect. Early Adopter pricing is excluded from such increases as long as the subscription remains active.
Paddle’s checkout terms apply to the transaction itself and are available at paddle.com/legal/checkout-buyer-terms. These Terms govern your use of the Service.
5. Billing via the Mac App Store (Apple In-App Purchase)
If you subscribe to Pro through the Mac App Store version of the App, Apple is the seller of record for the transaction. Apple collects payment, handles applicable taxes, and is responsible for billing-related disputes under Apple’s terms and applicable consumer law.
When you subscribe via the Mac App Store:
- You authorize Apple to charge your selected Apple ID payment method for the subscription fee and any applicable taxes.
- Your subscription will renew automatically at the end of each billing period at the then-current price for your plan, unless auto-renewal is turned off at least 24 hours before the end of the current period.
- You can cancel or manage auto-renewal at any time through System Settings → [your Apple ID] → Subscriptions (or App Store → Account → Subscriptions). Cancellation stops future renewals; you retain Pro access until the end of the current billing period.
- Your payment data is processed by Apple. We do not receive your full card number from Apple — only the order metadata required to associate the subscription with your account.
- Apple’s standard subscription terms apply to the transaction. CodeNocturne’s Terms (this document) and Refund Policy govern your use of the Service.
6. Refunds
Refund paths differ depending on where you purchased:
- Website / Paddle purchases — covered by a 14-day money-back guarantee on your first paid charge. See our Refund Policy for the process.
- Mac App Store purchases — refunds are decided and processed by Apple under Apple’s refund policy and applicable consumer law. Request via reportaproblem.apple.com. CodeNocturne does not directly issue refunds for App Store transactions but will assist where it can.
Nothing in these Terms limits statutory consumer rights that cannot be waived under the law of your country of residence.
7. BYO Claude Credentials
CodeNocturne does not resell or bundle AI inference. To use the coding agent, you must connect your own Anthropic credentials — Claude Pro, Claude Max, or an Anthropic API key. You are solely responsible for any fees Anthropic charges for your usage of those credentials, and your use of the agent is also subject to Anthropic’s applicable terms.
8. Your Account
Some features of the Service require you to sign in with Sign in with Apple. You are responsible for keeping your Apple ID and device secure. You agree to notify us promptly at support@codenocturne.app if you suspect any unauthorized use of your account.
9. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
- Attempt to gain unauthorized access to any part of the Service, our infrastructure, or other users’ data.
- Use the Service to generate, store, or distribute malware, spyware, or content that infringes the rights of others.
- Use the agent capabilities to circumvent third-party terms, including the terms of any model provider, music provider, or identity provider the App relies on.
- Share, resell, or sublicense your Pro subscription, your account, or your activation credentials.
- For Paddle purchases: initiate chargebacks without first contacting us; the Refund Policy resolves nearly every legitimate request without one.
- Interfere with or disrupt the integrity or performance of the Service, including by automated load, scraping, or denial-of-service attempts.
10. Third-Party Services
The App and the Service integrate with third-party providers to deliver functionality. Your use of those providers is governed by their respective terms and privacy policies, in addition to these Terms:
- Anthropic Claude — coding agent capabilities are powered by the Claude Agent SDK using your credentials. Your prompts and the tool calls you approve are sent to Anthropic on your behalf.
- Paddle — payment processing and merchant of record for purchases made on our website.
- Apple — seller of record for in-app purchases on the Mac App Store; provider of Sign in with Apple, Apple Music, WeatherKit, and the underlying macOS platform.
- 网易云音乐 (NetEase Cloud Music) — when enabled, metadata and playback signals are routed through a Cloudflare Worker proxy. NetEase’s terms apply to your account and listening data.
We are not responsible for the availability, content, or behavior of third-party services.
11. Your Content and Code
CodeNocturne does not upload the contents of your source files to our servers. The App may compute local file fingerprints and send only the prompts, file paths, and excerpts that you explicitly include in an agent task or that the agent reads after you approve the corresponding tool call. You retain all rights to your code and content.
12. Approvals and Agent Behavior
The agent operates under a per-tool approval model. You are responsible for reviewing the actions you approve. You acknowledge that AI-generated suggestions may be inaccurate, and that you are responsible for any code, command, or change that you choose to apply.
13. Intellectual Property
The App, the website, and the CodeNocturne name, logo, and visual identity are owned by CodeNocturne and protected by intellectual property laws. These Terms do not grant you any rights in those marks beyond the limited license to use the App as described.
14. Disclaimers
The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, secure, or that it will meet your requirements.
15. Limitation of Liability
To the maximum extent permitted by law, in no event will CodeNocturne, its affiliates, or its contributors be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, data, or goodwill, arising out of or in connection with your use of the Service. Where liability cannot be excluded by law, our aggregate liability for any claim arising out of or related to the Service is limited to the total amount you paid for CodeNocturne (through Paddle or Apple, as applicable) during the twelve (12) months preceding the claim.
16. Termination
You may stop using the Service at any time by cancelling any active subscription, uninstalling the App, and signing out. We may suspend or terminate your access to the Service at any time if we reasonably believe you have violated these Terms or if doing so is necessary to protect the Service or other users. Where termination is for cause attributable to you, paid amounts are non-refundable outside the windows described in the Refund Policy.
17. Changes to These Terms
We may update these Terms from time to time. When we do, we will update the “Last updated” date above. For material changes, we will make reasonable efforts to notify you in the App or via the website. Your continued use of the Service after the changes take effect constitutes acceptance.
18. Governing Law
These Terms are governed by the laws of the country in which the operator of CodeNocturne is resident, without regard to its conflict-of-laws rules. Paddle, as merchant of record for website sales, and Apple, as seller of record for Mac App Store sales, each handle their own cross-border transaction obligations and consumer-law rights at checkout.
